Position Summary:
We are seeking a highly motivated Mid-Level Corporate/M&A Transactions Attorney with 5–7 years of relevant experience to join our team. The ideal candidate will have a strong background with a variety of corporate matters, including M&A, entity formation, corporate governance, commercial contracts, and private financings.
Key Responsibilities:
- Support M&A transactions from inception through closing, including due diligence, drafting, negotiation, and closing documentation.
- Draft, review, and negotiate a wide range of commercial agreements (NDAs, service agreements, vendor/customer contracts, etc.).
- Support general corporate counseling and day-to-day business matters.
- Collaborate closely with other attorneys, clients, and professionals in a team-oriented environment.
Qualifications:
- J.D. from an accredited law school and active member in good standing of the Virginia Bar.
- 5–7 years of experience in a corporate transactional practice, preferably with a law firm or in-house legal department.
- Strong organizational, drafting and analytical skills.
- Ability to manage multiple projects in a fast-paced environment.
- Excellent communication and interpersonal skills.
- A proactive and client-focused mindset.
Community Associations Associate Attorney – Maryland Bar required.
Rees Broome, PC, a Top 20 law firm in Virginia, is recruiting for an associate with 2-4 years of general collections experience to assist our community association and HOA clients in our Community Association practice group. This position offers competitive compensation and generous bonus plan. The firm actively engages in its associates’ professional growth. Candidates must be licensed in Maryland.
Our ideal candidate will have 2-4 years’ experience practicing general collections work for banks or other creditors, exceptional research and communication skills, a strong attention to detail, the ability to manage multiple clients simultaneously and excellent academic credentials.
Responsibilities:
- Independently manage a caseload of 250-400 active collection cases from initial intake to closing of files
- Work closely with paralegals, administrative assistants and Shareholders on collection case load
- Review and interpret client documents and draft legal opinions for Shareholder review
- Regularly handle court appearances in multiple jurisdictions and handle abatement court cases for enforcement of covenants
- Routinely communicate with community association clients and their management agents and provide routine status reports
- Manage billing of hourly time and via task codes for fixed fee collections work
- Routinely attend on-site meetings at client community associations to oversee elections and Board meetings
Qualifications:
- JD from an accredited law school
- Admitted to practice in Maryland
- 2-4 years’ experience in collections
- Experience with collections, Fair Debt Collection Practices Act compliance, district court, and post-judgment enforcement
- Strong analytical skills.
- Strong written and oral communication skills
- Legal project management experience is helpful
- Prior experience managing paralegals and other staff
